Subject to the terms and conditions contained herein, the undersigned, Samuel D. Barricklow ("Licensor") hereby grants to _________________________, ("Licensee") its successors, assigns, heirs, executors, and administrators, a non-exclusive, restricted and non-transferable license to use, adapt and incorporate the photographic images described below (the "Work"), for a period of one year commencing on the date this agreement is executed.

The Work shall be used solely for the term and purpose specified herein and for no other term or purpose. Licensee will not permit the making of any reproductions whatsoever except in connection with the purpose specified. Licensee agrees to take all reasonable precautions to protect the copyright of the Licensor, including providing photo credit to the Licensor and that the program incorporating the Work shall have a notice of copyright protection in accordance with the Universal Copyright Convention.

Licensor warrants that he is the legal owner of the Work: That he has the right to enter into this Agreement and grant the license herein: and that the Licensee's use of the Work will not violate any rights of a third party.

Licensee hereby agrees to pay Samuel D. Barricklow a total license fee of ____________*_ U.S. Dollars per photographic image used, with payment due within thirty days after execution of this agreement.
